Offerings and visibility
Building an offering
The offering builder is /app/issuer/offering. It holds the terms and the content the
investor reads. Optional sections can be switched on or off per offering: cap table,
documents, media, use of proceeds, data room, highlights, use of funds breakdown, team,
milestones, FAQ, and a word from the director.
Every write goes through one server-side endpoint that resolves your workspace from your membership. A tenant id sent from the browser is never trusted.
Statuses
An offering is draft, published or closed. Publishing validates that the required fields are present. A closed offering stays visible to people who could already see it but accepts no new expressions of interest. Withdrawing an existing interest still works on a closed offering.
The two visibility settings
Visibility is set per raise and it is the client's own act.
- Invitation only. The raise is private. Only investors you have invited can see it.
- Global. The raise is listed to registered investors who pass the gating rules.
Exedra Gate charges a flat feature fee for the global visibility feature. It is a platform feature price. It is never a share of what you raise and never depends on whether anyone invests.
Global listings are gated server side
A global listing is not shown to everyone. Before a listing reaches a viewer, the server checks the viewer's jurisdiction and investor category against the rules the client set for that raise. An investor who has not self-certified jurisdiction and investor category sees nothing in the feed at all.
That gating is enforced in the database and the endpoints, not in the browser. Hiding a card in the interface is not a control and is not how this works.
Self-certification is also required before global listings appear, and a client must have completed the corresponding offering-level self-certification fields before its raise can be listed globally.
Neutral presentation
Exedra Gate does not rank, score, feature, promote or recommend offerings, and it does not match a specific deal to a specific investor. Sorting is by recency or name only. Filters are the investor's own factual criteria such as sector, stage, jurisdiction and ticket band. Investors self-select from what the client published.
Disclaimers
Every investor-facing offering page carries a non-dismissible notice: Exedra Gate is a software platform, not a broker, adviser, custodian or trading venue; all content is provided by the client and has not been verified or endorsed; expressing interest is non-binding; and private investments carry substantial risk including total loss.
Before a global listing opens in full, the investor acknowledges a matching statement, and that acknowledgement is recorded against a versioned disclaimer text.
